Business and finance

Mr. Palazzo began his career with the in-house law firm acting as an associate General Counsel with Statewide Bancorp, N.A., a publicly traded bank holding company for a $4 billion dollar federally chartered commercial bank, The First National Bank of Toms River, NJ, N.A. As bank counsel he handled a wide variety of duties including Bank Compliance with Blue Sky Regulations, the FDIC and the Comptroller of the Currency; he handled commercial transactions, commercial and residential mortgage loans, commercial litigation, construction and real estate lending and development, bankruptcy and the acquisition of Penn Federal Savings Bank, Penn’s Grove, NJ. Mr. Palazzo has also been a Director and legal counsel for Ocwen Financial (NYSE-OCN) a $5 billion equity and financing Holding Company which formed the first hybrid equity and financing national REIT-Ocwen Asset Investment Corporation (NASDAC: OAIC).

Business Transactions

Expertise in drafting a wide range of critical commercial contracts, licensing and technology agreements, service agreements, leases, confidentiality, non-disclosure agreements, as well as forming complex joint venture projects. Ability to manage fast-paced workload and add value to multiple projects simultaneously.


Oversight of complex litigation from filing the complaint through interrogatories, depositions, trial preparation, effective motion practice, skilled evidentiary analysis, aggressive strategy deployment and comprehensive and detailed trial preparation. Real Estate Development

Hands on experience of the entire development process beginning with sourcing value enhancement opportunities, financial analysis and project feasibility through working with architects, engineers and construction management. Appearances at planning and zoning boards. Coordinating the market studies, property condition reports, environmental impact studies, traffic studies and working with local citizen groups, governmental bodies and other interested parties as well as interpreting comprehensive municipal plans and zoning regulations. Implementing marketing and leasing analysis and exit strategy.

Complex Financial Structuring / Work-out of distressed debt

Implementing and closing complex financial structures. This includes loan management of stabilized and distressed debt from inception and closing through work-out and resolution including bankruptcy and debtor in possession situations. Twenty-five years’ experience in purchasing and management of construction, sub-investment grade and troubled loans and developing critical legal mitigation strategies to dramatically increase loan repayment ratios. Establishing effective collection policy and procedures.

Intellectual Property

Drafting various agreements for medical coding service providers. Manage trademark registration, maintenance and protection. Engage in enforcement and when necessary litigation to protect intellectual property, Copyright and Trade Mark violations of web based publications regarding market research, sports card price guides, healthcare and medical coding information. Responsible for reviewing, drafting and negotiating various commercial contracts i.e. vendor and service agreements, merchandising contracts, non-disclosure agreements, software license agreements, equipment leases, independent contractor agreements, and editor / co-editor agreements.

Mergers & Acquisitions

Negotiate letters of intent, purchase and sale agreements and other legal documents. Supervision of all due diligence activities including review of existing employment agreements and possible union issues, evaluate compliance documentation and make recommendations. Responsible for reviewing, drafting and negotiating various confidentiality and existing all commercial contracts. Collaborate with the commercial team to provide legal support for an efficient bid submission process when necessary. Review and Summarize biographies of senior management, including employment history, age, service with company.

Sales and Marketing

Draft marketing and sales policies and procedures. employee confidentiality, non-compete and non-disclosure documentation. Negotiate distribution and exclusive rights to provide marketing and sales service to major supermarkets. Draft productivity, quality, and customer-service standards; resolving problems; engaging in customer service activity to avoid reputation hazards such as complaints to better business bureaus and other consumer protection agencies. Responsible for legal advice and general business transaction assistance in sales and advertising rules and regulations, regulatory review and approving marketing materials and communications. Drafting specialized employment and independent contractor agreements and providing legal advice to senior management.


Anthony Palazzo is a Clinical Specialist in the Accounting and Finance Department of the Feliciano School of Business with Montclair State University, Montclair, NJ: Prior to this position, Mr. Palazzo was an Adjunct Instructor and Adjunct Professor at New York University’s Schack Institute of Real Estate. From 2005 to 2010 and 2015, he taught courses in the Master of Science Program and the School of Continuing and Professional Studies as well as courses including The Real Estate Development Process, Sourcing and Structuring Development Deals and Analyzing and Buying Distressed Real Estate and Debt, including a very unique Fall 2015 Guest Speaker Symposium: Opportunities & Deal Structures in the Post Crisis Capital Market. All courses and the Speaker Symposium offered actual case studies and guest speakers from well-known private and public Companies, Banks, Opportunity Funds and REIT’s throughout the U.S.:

Health Care & Employment

Experience with statutory and regulatory compliance issues. Advise on HIPAA, Patient Protection and Affordable Care Act (PPACA). Assist human resources department with Family Medical Leave Act (FMLA) and advise on issues of discrimination in hiring and discharging as well as dispute resolution. Ensure compliance with Federal Fair Labor Standards Act (FFLSA).
